Advice and litigation in relation to:

  • Directors’ duties.
  • Shareholders’ disputes and minority shareholders' remedies, including unfair prejudice petitions.
  • Company meetings and resolutions.
  • Share capital issues, including redeemable share issues and own share purchases.
  • Financial assistance.
  • Company contracts and directors' authority.
  • Memoranda and articles of association.
  • Shareholders’ agreements.
  • Rectification of a company’s register of members.

Corporate finance

  • Advice on debentures and company security, including fixed and floating charges.
  • Applications to extend time for registration of company charges and for rectification of the register of charges.

Insolvency

Advice and litigation in relation to:

  • Winding up petitions, including disputed petitions and applications to rescind winding up orders.
  • Administration orders.
  • Powers and duties of liquidators, administrators and CVA supervisors.
